CITIC was sued for the alleged theft of trade secrets

Bridge the Gap, Promote the Understanding

By Oliver Haiqing Hua, market researcher & business analyst

Date: 05/08/2013

Source: Internet Chinese websites

According to CITIC OS's website:

With the long-term strong supports from the Chinese government and CITIC Group, CITIC OS is focusing on providing our customers the best quality professional services in the BPO industry, and is committed to develop the company into one of the biggest & best outsourcing service suppliers in the world.

CITIC Outsourcing Service Co., Ltd ("CITIC OS") a domestic leader of business process outsourcing ("BPO") services in China, which is invested by China CITIC Group (a Fortune Global 500 company). It has developed and built up large-scale comprehensive outsourcing service facilities in several big Chinese cities.

They are providing "one-stop" back-office outsourcing solutions including cheque distribution, records storage, imaging & data processing, cash processing & ATM services, supply chain management, back-office centers operation and tailor-made BPO services to thousands of financial institutions, government departments and multinational enterprises throughout China.

Through continuously bringing the world's advanced business models and cutting-edge technologies into the domestic market, as well as cooperating with local famous universities and professional research institutions, CITIC OS has already developed and applied a number of innovative BPO services and supply chain management systems in China.

CITIC OS has been rapidly expanding with its main business of inter-bank notes storage, delivery and other financial logistics. CITIC has considered listing this business in the stock market. However, CITIC has been involved in a lawsuit whirlpool. Singapore Transnational Company Private Limited (TCPL) sued CITIC of theft of its financial logistics trade secrets.

However, what is really behind the curtain? We need to trace back to the year 2001.

September 2001, TCPL established Transnational Logistics (Tianjin) Co., Ltd in Tianjin, China (hereinafter called "Transnational logistics"). The company engaged in the logistics system design and warehousing services i.e. financial outsourcing business. The major s financial outsourcing services customers mainly include banking, insurance, and securities companies.

At that time, this was an emerging business there are rarely companies operating in the country so it enjoys a rapid growth. The revenue in 2004 has reached 19,138,100.00 Yuan. And TCPL has established branches in Beijing, Nanjing, Shanghai, Guangzhou, Shenzhen, and Tianjin.

CITIC was optimistic about TCPL's financial outsourcing logistics business prospects, proprietary technology and management experience. In May 2004, in order to introduce this financial outsourcing logistics business into CITIC Group, CITIC, Beijing Any Links Software Systems Co,. Ltd and TCPL (Tianjin) have established a joint venture CITIC TCPL Logistics. In which, CITIC held 51%, TCPL held 44%, and Beijing Any Links held 5%.

November 2005, CITIC TCPL Logistics has invested the CITIC Logistics Technology Park in Tianjin covering an area of ??50,000 square meters.

With CITIC's Chinese network, CITIC TCPL Logistics has almost monopolized Tianjin all bank checks, housing loan contract delivery business. From 2003 to 2008, CITIC TCPL Logistics annual financial result has grown from 10.12 million Yuan to 219 million Yuan and its profit margin has also increased to 7.27 million Yuan from the 3.89 million. It is worth noting that this company's profit margin has been maintained at above 20%, with the highest of 54%.

However, beginning in 2009, the revenue and profit suddenly plummeted. Reported operating income was only 4,128,700 Yuan in 2009, with a loss of -121.65 million, a sharp drop of 116.72%. 2010 was even worse, 2010 revenue was only 1.11 million in, with a loss of 1.749 million Yuan.

What was happening? Liew Mei Hing started wondering when he couldn't get the financial statements and financial information. Finally, he found something wrong as CITIC has confiscated all the information and refused to hold board meeting, and TCPL decided to sue CITIC on the court for the theft of trade secrets.

According to the allegation, as the controlling partner of a joint venture between TCPL and CITIC, CITIC has secretly set up competitive companies, not only the joint venture contracts, the customers, profits, even all the staff and management software, etc. have been taken by CITIC newly established relevant companies.

These actions have caused huge losses in the joint venture company. CITIC use the losses as an excuse to close the joint venture and operation the same kind of financial services without the joint venture partner who has contribute the experience and trade secrets of the financial logistics business. CITIC OS is one of the companies CITIC has established during this time.

However, TCPL has lost the case as they don't have sufficient evidence to prove that their intelligent property can be considered as the trade secrets. LIEW MEI HING said that they didn't even think that as famous as such a big company, CITIC could have such guts and face to commit such dishonored behavior, which really defeat their confidence to develop their business in China.

Asia Buinsess & News from China

Dear Sir / Madam:

I hope this email finds you well.

My name is Oliver Haiqing Hua, an Economist, Business Consultant, Report Writer from China. Please allow me to bring my best regards to you, your family, and your business.

According to analysis, that if China keep 8% annual GDP growth rate, by the year 2020, China's GDP will reach $ 12 trillion; the United States GDP is now $ 14 trillion, assuming an annual l GDP growth rate of 3%, by the year 2020, it will reach $ 18 trillion, China's GDP is still smaller than the United States. However, there is another very realistic assumption that in the next 9 to 10 years, the RMB appreciation will be at least doubled against the U.S. dollar, so that China's GDP will be more than the United States by 2020.

At present, what China should be in real concern is the middle-income trap. Some traditional industries in the western countries, in terms of China, are still the emerging industries, such as financial services, health services, health care industries, these industries will certainly have to take off, and there are many appropriate brands appear, and go hand in hand with the rising of such industries in the proportion of the economy. These are some of China's economic transition signs in the future. The success of such transformation in the end, is mainly depend on whether if China can create its own core technologies, own core brands, which is enormous challenges the Chinese entrepreneurs face in the next 10 years, which are the Chinese opportunities for the visionary foreign companies.

Therefore, I would dare to suggest you to use me to report on your behalf for the news and critics from China since there are so many actions happens daily in China and many things are only available in Chinese and many of them would be interesting for your audience, your clients to know, and I have the experience and skill to report on the most interesting stories for your publication or your services or your circle.

I can do a lot of things, and I need a good opportunity and steady growing income. I am now working with two magazines as their free lance reporter, and I am hosting some blogs to spread my services.  I would welcome more work opportunity, China is a destination of many global company, and they need information from China, they need to spread their news into China. I hope you can see where I can be utilized in your business growth.

I strongly believe what they said in their website: "If you leave this subject for another day, when you have time for it, then most likely you will never get around to it until it is too late. Too late, is when you realize that you should of done this a long time ago.  Too late, is when you realize that your competition has overtaken you. Too late, is when your business stops growing and you start to thinking of letting people go. There is no need to let things go that way. "

As the demand from China for natural resource grows, opportunities arise in connecting quality projects and companies in the resource sector to Chinese capital. We believe there is a missing link between many investors in China and Hong Kong and investing opportunities in the global resource sector. GCFF Shenzhen - Global Resource Investment Conference is set to bridge this gap and become the premier mining & energy investment event in Greater China. This event will act as a platform to benefit private and institutional Asian investors and international mineral exploration and development companies, thereby creating more cross-border opportunities for the flow of capital.

In the past 10 years, China's GDP got fivefold, while the A-share index rose only 30%, but the Chinese real estate prices have gone up 5 to 8 times, which is the reason causes investors to flock into the real estate due to the unsatisfactory performance. More and more Stock liquidity supply, more and more companies listed, more and more restriction removals, the stock price will be going down. Overall, China's social savings rate is still too high. When the domestic social security system, medical system are in good shape, the national wealth in cash holdings will come down, there will be more and more money come into the stock market driving up the market in China.

China - which consumes about 40 per cent of the world's main base metals - has a much stronger influence in the world's market. It was China's voracious appetite for commodities that helped pull the global economy out of the recent recession.
Canada is now approved as an investment destination for China, seen as the access to the new flow of up to $8 billion in capital. The China Banking Regulatory Commission has designated Canada as a destination for Chinese banking wealth management business under China's Qualified Domestic Institutional Investor (QDII) program, Canadian Finance Minister Jim Flaherty said in a statement that the agreement will give Canadian financial markets access to up to $8 billion in investment capital.

For the next three years, investors see cities and clusters in China, India, and CEE as the most attractive options for future manufacturing, research and development (R&D) and services projects. As the world emerges from the crisis amid aftershocks, multinationals and midsize players are reconsidering cross-border investment strategies as they adapt their business models to the global changes.

China's rapid development over the past 30 years shows some ways to attract investment. Earlier policies to create some special zones in China, such as Shenzhen and Shanghai, with advantages like HR transferring, low taxes in early years, strong support and rapid government decision-making have been very beneficial. This system attracts investment, with a snowball effect.

Golden Age of Chinese Money

China's M2 has surpassed total sum of Japan the and U.S.A. and become the world's largest money country, M2 is 1.8 times the GDP, while the U.S. M2 is 0.8 times the GDP, which is one of the reasons why China price continuously increases.

Inflation, the ultimate means for the predatory wealth of "money printing class"

National wage income share of GDP, the highest is in Europe and America, about 55%, an average of 38% in South America, 28% in Southeast Asia including the Philippines, Thailand, the Middle East is about 25%, 20% in Africa, and China is 8%, the global lowest.

Average hourly wage, Germany, $ 30 / hour, the United States, 22 U.S. dollars / hour, Thailand is $ 2 / hour, China is $ 0.8 / hour, less than 15% of the world average, and the Chinese people work the longest hours, about 2200 hours per capita year.

Price, 97 # gasoline is 1.3 times the U.S., movie ticket is twice the U.S., Armani suit is three times the United States, BMW Z4 $ 90,000 in China, while the United States is US$ 30,000, Levi's jeans, seven times the U.S. price. Housing prices have already been a number of times far more than that of the United States.

Chinese are most laborious, make least money, and pay highest price.

China Academy of Social Sciences reports that in 2009 China's fiscal revenue accounts 30% of its GDP, in October 2010, the national fiscal revenue break over 7 trillion, nearly doubled the GDP growth, "Eleventh Five-Year"  fiscal revenue grow 950 billion Yuan twice the GDP growth rate. In 2006, China's fiscal revenue has surpassed Japan, and the same year Japan's GDP is twice more than China. The end of 2009 the World Bank released a China's economy report that, from 1995 to 2007, remove the inflation component, the government revenue increased by 5.7 times, while the per capita disposable income of urban residents grew by only 1.4 times, rural residents net income is only 1/7 to 1/3 of the urban residents.

Now the statistics:

China's per capita national income is $ 1,090, ranking the world's first 100.

Central Bank data, in 2005, the amount of 96.18% China's deposit are 50000 or less.

May 27, 2010 issue of "Social Science Daily": 2009 National stability maintenance budget reached 514 billion Yuan, more than a year's defense budget 480.686 billion Yuan.

Compare with the following data:

In 2010, in the five provinces southwest drought affected 60 million people, central government funding only 160 million and call for nationwide donations.

In 2010, 22 million people were affected by heavy rainfall in Jiangxi, Ganzhou appropriated 600,000 Yuan emergency funding.

In 2010, Deputy Health Minister Huang Jiefu said, universal free medical care each year needs 160 billion, China does not currently have the economic strength.

Government's administrative expenses accounted for 20% of revenue, 10 times that of Japan, twice the United States. At the same time, the government spending in people's livelihood is significantly behind, in 2009 China's fiscal revenue 6.85 trillion Yuan, health care, education, social security, employment, spending accounted for only 14.9%. In contrast, the United States this proportion had reached 61%.

Financial ratio for health care, India is 2 to 3 times that of China, the United States is five times more than China. In United States, Germany, Russia, the welfare, social security expenditures account for 55% to 60% of the fiscal expenditure, while China is only 15%. China's 30 years economic growth is at the expense of low-wage, low benefit, high prices, high taxes, environmental damaging, demographic dividend (squandered that part of wealth should be used to support the descendants).

Contemporary China: Socio-Economic Systems

In the Chinese social system, there are three citizens' statuses: peasants, workers, cadres. Peasants are administrated by the Ministry of Agriculture, workers are managed by the labor bureaus, and the cadres are with the Personnel Bureau, relative to the cadres, the first two statuses are known as masses. From 1949 to 1992, the social status was mainly determined by such identity, after 1992, the social statuses are determined by the wealth.

Bureau of Statistics 2007 data, there are 737 million Chinese farmers (including 220 million migrant workers), 29 million the state-owned enterprises workers, 10 million large collective workers, 160 million of non-state economy (foreign, private, joint-stock enterprises, urban unemployment), all together are about 9.4 million population.

1997 data, there are 40 million cadre status (central government freeze the number of cadres in 40 million), 5.7 million civil servants, 28 million professional and technical personnel. In the 40 million there are 16 million party members. China now has about 10 million private entrepreneurs. 25 million quasi-cadre files in the job market have not entered the cadre status in the Personnel Bureau (once admitted to the university, the person has a cadre status but did not employed by the state enterprises, the person's file will be filed in the talent market.) The total number of these three is 75 million people, 5.8% of the total population, which is a small probability event. The fifth national census in 2000 shows there are4571 million people received a college education, 3.5% of the total population, as of 2009, the total number of the post-graduate are about 5 million, accounting for 0.4%.

Professional and technical personnel (teachers, doctors, engineers, accountants, lawyers), are accounting the proportion about 5.1%of the social class structure, the total number of doctors is about 5 million, 0.4% of the total population. In general, the treatment of technical personnel in China or in their own sense is just like the senior technicians, far from being due respect, or even the least fairness.

At the end of 2005 the national population of aged over 65 is about 100.55 million, 7.7% of the total population, China has entered into the aging society, and the aging degree of Shanghai is about 20%. Take China 2000 census as a benchmark, the total 0 to 15-year-old Chinese male population is 18.83 million more than the women with the same ages, it is expected that by 2020, in the marriageable population in China there would be 40 million more men than women. The end of 2005, there is a total of 8296 of people with all kind disabilities in China (including mental disabilities), accounting for 6.34% of the total population, involving 70.5 million households, accounting for 17.80% the total number of households. Human Resources and the Minister of Social Security predicted in 2009, there are more than 24 million unemployed.

There are total about 70 million party members, in slight fluctuations with CPI; relative to party members, non-party members are called "the masses", and the word "masses" in Chinese character pictographically means the sheep of the king, the source of taxes and soldiers, generally means the need for someone to lead the mob. There are around 2.3 million Air force, Navy, and land troops active on duty, about 1.2 million the total number of armed police, armed police internal security forces total strength is 80 million, about 1.6 million the total number of police officers, more than 670 prison, more than 1.5 million offenders in custody.

There are 21 million Chinese people in absolute poverty with annual income of less than 683 Yuan, and 200 million low-incomers with annual income of less than 958 Yuan.

As the urban-rural divide, the gap between large, medium and small cities, the specific division of work environment, everyone are experiencing basically almost the same with their own, and generally 18 to-34 year olds (without a good family background) is basically the most difficult section on the road, also with the highest suicide rate in all China's populations.

China Middle Class Definition

There is a popular definition on middle class in China: they are mainly engaged in mental work, making a living mainly by wages and salaries, general well-educated, with professional knowledge and strong professional capability as well as the corresponding household consumption level; with certain leisure time, pursuing quality life, generally with certain management rights and control rights towards their work objectives. At the same time, most of them have good citizens, civic awareness and the corresponding self-cultivation. In other words, from the economic status, political status and socio-cultural position of the point of view, they are living in the middle level of society at current society - this is a seemingly clear, but in reality, vague definition.

Another article proposed the top ten symbolic about middle class: 1, annual income is about 200000 Yuan; 2, owning stocks or holding options; 3, owning chalets or villas, and a nice-looking car; 4, with wealthy and colorful nightlife, not necessarily nightclubbing or mahjong playing, usually business negotiation or a concert; 5, a foreign identity or at least more than three years spent in foreign countries; 6, kin to ancient culture, world ancient civilization, especially the antiques; 7, knowledge of manners, American style, European worshiping; 8, knowledge of the latest staged opera and ballet; 9, often talking with mixed foreign words, which shows a difference much confusing the Chinese audience; 10, dress casually, not just ordinary, but a very deliberate casual.

Seemingly very clear definition, and interesting elaboration, but still a conception to be discussed amongst the sociologists in China and around the world since it is truly an important topic ever progressing and changing with the social, economical, politic development in China and around the world, as there are so many unpredictable events both natural and civic happens daily around us, Iraq a few years back, Syria a few days gone by, now is the Egypt, Greek, Italy: war, and peace, rocket and monetary, all mixed up stirred in a cup of coffee with the smoke curling arise, a smoggy air around the concept and definition of the Chinese Middle Class as a population, or as a group of people with or without power, strolling on the Wall Street, or in Tiananmen square, just like 12 years back with tank and bullets, blood and wounds everywhere.
